The Scheme of Georgia Rug Gallery

Golden Rugs, renamed to Georgia Rug Gallery was organized on or about August 31, 2005. Since the inception of the Company, Ms. Ayda Khaleghi and Mr. Mark/Mohammad Kamkariyan were and have been the only two members of the Company.
Since the inception of the Company, Ayda and Mark have been members and managers of the Company with each owning a fifty a percent interest in the Company. The Company was organized to operate a business and retail store known as “Golden Rugs LLC.” which sold area rugs and provided rug related services.
After Mark's fraudulent bankruptcy, In approximately 2007, the Company moved the Golden Rugs store to a new location located at 3335 Cobb Parkway, Suite 800 in Acworth, Georgia.
Beginning in early-to-mid 2014, relations between Ayda and Mark became strained as Mark became increasingly hostile and dishonest in his communications and dealings with Ayda. Unbeknownst to Ayda, Mark had begun scheming to cut Ms. Ayda out from the business that they had built together over the past decade. In furtherance of that scheme, Mark acting in his fiduciary capacity as a manager and/or member of the Company, engaged in certain wrongful conduct, including but not limited to acts of theft, embezzlement, larceny, defalcation, misappropriation, threats, intimidation, violence, and other conduct that was self-serving, injurious, detrimental, and damaging to Ms. Ayda and to the Company. This wrongful conduct included Mark depositing receipts and payments received from the Company’s customers into his personal bank account or into other accounts about which Ms. Ayda was unaware and did not have access (or otherwise converting these Company assets to his own possession and control).
Mark also began wrongfully transferring monies from the Company’s bank account into his personal bank account or into other accounts about which Ms. Ayda was unaware and did not have access (or otherwise converting these Company assets to his own possession and control). Mark also removed inventory from the store and/or sold inventory from the store and did not account for those sales to the business and Company. Beginning in approximately June 2014, Mark began using threats and intimidation (and later physical violence) to prevent and discourage Ms. Ayda from accessing, visiting or working at the store and from participating in the Company and the business. In addition, Mark changed the locks to the Golden Rugs store and changed the store's security system pass code in further efforts to exclude Ms. Ayda from the Company’s business premises.
On or about June 30, 2014, Mark caused to be organized a new Georgia limited liability company known as Georgia Rug Gallery LLC. From that time forward (and possibly earlier) Mark conspired to steal the assets and business of the Company, and did in fact steal those assets. The Defendants combined together and/or maliciously procured, assisted, advised, counseled, persuaded, or commanded each other to commit the wrongs alleged in this complaint with the intent of doing something unlawful or oppressive or immoral. 

On July 1, 2014, Ms. Ayda met Mark at the Company’s business premises to discuss Mark's wrongful conduct and to discuss how to equitably divide the Company's assets and end the business relationship. During their meeting Mark assaulted Ms. Ayda  by throwing a cookie jar at her and then reaching across the table and, without privilege or consent, placed his hands around her neck. Thus, committing an assault and battery upon her. At the meeting, Mark also insisted to Ms. Ayda that he was keeping the business and that there was no way that Ms. Ayda  was being paid or compensated anything for her interest in the Company.
On or about July 22, 2014, Mark switched the Golden Rug's merchant service deposit account (used to process credit card transactions at the store) to an account controlled by Mark and thereby converted all future proceeds from credit card sales of the Company’s products and inventory to Mark. In August 2014, Mark placed signs in the windows and on the door of Golden Rugs’ business premises, notifying the public and the Company's customers that Georgia Rug Gallery was coming soon and would be located in the suite next door, Suite No. 850, and later to suite No. 300.
In addition, Mark without the consent of Ms. Ayda, diverted and took all of the Company's customers, inventory, fixtures, equipment, customer files, business records, proprietary information, and other remaining asserts to the new business, Georgia Rug Gallery.
On November 23, 2014, Ms. Ayda was at Loca Luna Restaurant located at 550 Amsterdam Avenue in Atlanta, Georgia when she was approached by Mark and her brother who without privilege or consent, head-butted her, began attempting to grab her and attempting to pull her away from her group of friends. Thus, committing another assault and battery upon her. As a result of this assault and battery, Ms. Ayda obtained a 12 Month Stalking Protective Order against Mark.
In January 2015, Mark with the help of his family opened the Georgia Rug Gallery store in Suite 850 of 3355 Cobb Parkway in Acworth, Georgia, immediately next door to where Ms. Ayda and Mark  through the Company, had operated the Golden Rugs store for the previous seven years.
As a result of and through the conspiracy, collusion, schemes, and actions as set forth herein, Mark usurped the Company's business and income to the new business depriving the Company of business and violating fiduciary duties and other duties owed to Ms. Ayda. Georgia Rug Gallery LLC is effectively just a continuation of the Company, albeit, a continuation that has been of no benefit whatsoever to Ms. Ayda. 

After Mark's first wife, Nadia's mysterious disappearance, in about September 2014, Mark traveled to Iran, remarried his cousin Sepideh, a successful Iranian architect, furthermore brought her to the US and are continuing a successful business together under Georgia Rug Gallery LLC. As a result Mr. Mark/Mohammad Kamkariyan/ Georgia Rug Gallery LLC. is currently in a lawsuit.
